Terms of Service

1. Agreement to Terms

By creating an account or using Stemix ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms constitute a legally binding agreement between you and Stemix ("we", "us", "our").

2. Definitions

  • Service — the Stemix web application, APIs, and all related services.
  • User — any individual who creates an account on Stemix.
  • Content — audio files, comments, messages, profile information, and any other material uploaded to the Service.
  • Pro Subscription — the paid tier at CHF 19/month providing additional features.

3. Account Registration

To use the Service, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

You must be at least 16 years old to create an account. By registering, you represent that you meet this age requirement.

4. Subscription & Billing

Stemix offers a free tier and a Pro subscription. The Pro subscription costs CHF 19 per month and provides access to project creation, workspace management, and collaboration features.

  • Payments are processed by Stripe. By subscribing, you agree to Stripe's terms of service.
  • Pro subscriptions renew automatically each month unless cancelled before the renewal date.
  • You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.
  • Refunds are handled on a case-by-case basis. Contact support@stemix.ch for refund requests.

5. User Content & Intellectual Property

You retain full ownership and intellectual property rights to all Content you upload to the Service, including audio files, stems, and master tracks.

By uploading Content, you grant Stemix a limited, non-exclusive, worldwide license to host, store, stream, display, and cache your Content solely for the purpose of operating and providing the Service. This license does not grant Stemix the right to sell, sublicense, or commercially exploit your Content.

You are solely responsible for ensuring you have the necessary rights to upload any Content. You must not upload Content that infringes on third-party intellectual property rights.

6. Acceptable Use

You agree not to:

  • Upload content that infringes on copyrights, trademarks, or other intellectual property rights.
  • Use the Service to distribute malware, spam, or harmful software.
  • Attempt to gain unauthorized access to other users' accounts or data.
  • Scrape, crawl, or use automated tools to extract data from the Service.
  • Use the Service for any illegal purpose or in violation of applicable laws.
  • Harass, abuse, or harm other users.

7. Service Availability

The Service is provided "as is" and "as available". We do not guarantee uninterrupted or error-free operation. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice when possible. Scheduled maintenance windows will be communicated in advance.

8. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data.

9. Termination

You may delete your account at any time. Upon deletion, your profile data will be removed. Audio files associated with your projects will be deleted within 30 days.

We reserve the right to suspend or terminate accounts that violate these Terms, with notice when reasonably possible.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Stemix shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, or profits, arising out of or related to your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

11. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated at least 30 days in advance via email or in-app notification. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

12. Governing Law & Jurisdiction

These Terms are governed by the laws of Switzerland. Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts of Zurich, Switzerland.
